If you commission an audit
We agree the scope, the price, and the timeline with you in writing before any invoice goes out. These terms apply on top of what we confirm for your engagement, and what we confirm for your engagement wins where the two conflict.

What we deliver
A single written PDF audit report containing the scored findings, the prioritised action plan, and implementation notes, plus an optional 1h walkthrough call. Exact scope for each audit type is listed on the relevant audit page. The report is sent to you once it is finished and payment has been received; see Fees below.

What we need from you
Read-only access to your website analytics, Search Console, and (for e-commerce or SaaS audits) any product or content management system. Timely answers to clarifying questions. Decision-maker review at delivery so we can close the engagement cleanly.

Timeline
Five to eight business days for the SaaS, e-commerce and website audits, and three to five for the technical audit, counted from the moment we have your brief and the access we need. Timelines pause if we are waiting on access or answers.

Revisions
One round of clarification questions is included. Additional implementation support is available as a separate engagement.
Fees, payment, and cancellation
Fees are fixed and agreed in writing before you commit. Two rules govern everything below: we never send the report before payment has been received, and once the report has been sent the fee is non-refundable.

How buying an audit works
You get in touch and we agree the scope and the price. If you decide to buy the audit, we send you an invoice and start work on it. When the audit is finished and your payment has been received, we email you the PDF report. We do not release the report before payment has cleared, and we will not ask you to pay before you have decided to go ahead.

Cancellation by you
You can cancel at any time before the report has been delivered. Tell us, and we stop working on your audit. If the invoice is still unpaid, nothing is owed and there is nothing to settle. If you have already paid, we return the full amount. Once the report has been delivered, the fee is non-refundable.

Cancellation by us
We can decline or end an engagement at any time before delivery: if the scope changes drastically, if the work requested would mislead users, or if continuing would create a conflict of interest with another client. If you have already paid at that point, we return the full amount.

Taxes
Prices are exclusive of VAT or sales tax where applicable. Reverse charge applies for VAT-registered business customers in the European Union.
Warranties and liability
SEO is a forecast, not a guarantee.
We use reasonable skill and care. We do not guarantee any specific traffic, ranking, revenue, or business outcome from following the audit's recommendations. Search engines, competitors, and your own implementation choices all affect results.
To the maximum extent permitted by law, our total liability arising out of or relating to the audit is limited to the fees you paid us for that engagement. Neither party is liable for indirect, incidental, special, or consequential damages, including lost profits or revenue. Nothing in these terms limits liability for fraud, gross negligence, willful misconduct, or anything else that cannot be limited by law (including, for consumers in the EU, statutory rights).
Confidentiality and ownership
What we keep to ourselves, and who owns what.

Confidentiality
Anything you share with us as part of an engagement (analytics data, business information, strategy, plans) is confidential and used only to deliver the audit.

Your IP
You own your website, your data, and anything you provide to us. The audit report itself becomes yours upon payment, with a perpetual licence to Illucrum to retain a copy for our records.

Our IP
Our methodology, checklists, scoring rubric, templates, and any proprietary tools remain ours.

Anonymised case studies
We may write anonymised case studies that reference the kind of business, the kind of finding, and the kind of fix, without naming you. We will name you only with written permission.
Governing law and changes
The legal frame around these terms.
These terms are governed by the laws of State of Texas, United States, without regard to conflict-of-laws principles. Any dispute that the parties cannot resolve in good faith will be submitted to the courts of Travis County, Texas, United States. If you are a consumer resident in the European Union, you keep the protection of the mandatory consumer rules of your country of residence.
We may update these terms. If a change is material we will notify active clients by email and update the "Last updated" date at the top of this page. Continuing to use the site after a change takes effect counts as acceptance of the updated terms.
